CALL TO ORDER

RESOLVED, the Board of Directors called the meeting to order at 9:00pm and ran the meeting concurrently with the Regular Board Meeting (See Approved Minutes from the Regular Board Meeting, dated November 8, 2007). MSC (5-0)

ITEMS REQUIRING BOARD REVIEW

Elections

Ric Perez of Massingham & Associates confirmed quorum was met for counting the ballots with 50 ballots received and eight (8) sign-ins. He then detailed the process of the elections and requirements, opened, counted and tallied the ballots, and announced that the new Board of Directors consisted of the following members: Dick Bacigalupi, Jay Cherrie, Terry Klaus, Eric Coker, and Gary Flanagan.

RESOLVED, the Board of Directors approved Annual Membership Meeting Minutes from December 7, 2006. MSC (5-0)

Adjournment

RESOLVED, the Board of Directors approved adjourning the Board Meeting at 10:00pm. MSC (5-0)
