ANNUAL MEMBERSHIP DIRECTORS MEETING
September 20, 2001

MINUTES

CALL TO ORDER - The meeting was called to order at 7:48 p.m.

QUORUM - President Bacigalupi announced that 51 members were represented in person or by proxy, which represented a quorum.

PURPOSE OF MEETING

1. To consider reports of the affairs of the corporation

2. To elect Directors of the Association

3. To transact any other business to come before the meeting that is within the powers of the shareholders

REPORTS

1. President -- President Bacigalupi reporeted on the progress made during the past year.

2. Waterside Maintenance -- Terry Klaus reported on the status of the dredging, wave maze and dock and ramp replacement projects.

3. LandsideArchitectural -- Mike Brownlee reported on the status of revisions to the Architectural Guidelines.

4. Landscaping -- Isabella Foster reported on the state of the landscaping and the progress made during the past year.

5. Neighborhood Communications -- Barney McCloskey reported on his work with the newsletter and on air traffic noise and safety during the past year.

6. Finance -- Dick Bacigalupi reported on the Association's financial position.

APPROVAL OF MINUTES
September 21, 2000 Anual Membership Meeting

MOTION: It was moved, seconded and passed to accept the September 21, 2000 Annual Membership meeting minutes as presented.

ELECTION OF DIRECTORS
Nomination of Candidates: The floor was opened for nominations. The following names were placed in nomination: Mike Brownlee, Mike Britt, Fary Flanigan, Barney McCloskey, Jeff Frankel, and Dave Wiard.

Close Nominations: The floor was closed for nominations.

Introduction of Candidates: Each candidate rose and gave a brief statement.

Election: It was moved, seconded and passed to elected the nominees by acclaimation.

RESULTS OF ELECTION

Mike Brownlee, Mike Britt, Barney McCloskey, Jeff Frankel, and Dave Wiard were elected to the Board of Directors.

GENERAL DISCUSSION - There was none.

ADJOURNMENT - The meeting adjourned at 9:00 p.m.
