Minutes of the 1999 Membership Meeting

BALLENA BAY TOWNHOUSE ASSOCIATION
ANNUAL MEMBERSHIP MEETING
September 16, 1999

MINUTES CALL TO ORDER - The meeting was called to order at 7:45 p.m.

QUORUM - Manager Rich Noble confirmed that 55 members were represented in person or by proxy.

PURPOSE OF THE MEETING - President Frankel explained that the purpose of the meeting was:

1. To consider reports of the affairs of the corporation

2. To elect Directors of the Association

3. To transact any other business to come before the meeting that is within the powers of the shareholders

APPROVAL OF MINUTES

MOTION: It was moved, seconded and passed to accept the September 17, 1998 Annual Membership Meeting minutes as presented.

REPORTS

Manager Rich Noble highlighted the progress made during the past year in the repairs and painting of the homes, and work on Pier 19 and the floating dock system. He noted that some roofing remains to be completed, along with dredging and refloating of the wave maze. Mr. Noble was acknowledged for his accomplishments and efforts.

ELECTION OF DIRECTORS - The floor was opened for nominations and the following candidates were nominated:

Richard Bacigaiupi Mike Brownlee Gary FIanigan Isabella Foster Jeff Frankel Terry Klaus David Wiard

MOTION: It was moved, seconded and passed to close the floor for nominations.

Each candidate made a brief statement, except Mike Brownlee, who was unable to attend the meeting. President Frankel made a statement on Mr. Brownlee's behalf. The meeting was then recessed for voting.

ANNOUNCEMENT OF ELECTION RESULTS - President Frankel announced that the following Directors had been elected:

Richard Bacigaiupi
Isabella Foster
Jeff Frankel
Terry Klaus
David Wiard

He congratulated the new Directors and thanked all candidates for participating in the election.

GENERAL DISCUSSION

President Frankel opened the floor for general discussion, encouraging members to take this opportunity to give direction to the incoming Board.

Leon Persson gave an update on the Fish Derby and exhorted members to RSVP promptly.

President Frankel asked for volunteers to serve on committees, and Chris Penn, Brian & Toni Leyta, Susan Frank, John Walker and Bruce Smith raised their hands.

Jeff Fuller asked members to consider submitting letters to the City of Alameda regarding a proposed gate at 500 Tideway and supplied the name, address, phone and fax number of the person to contact. He noted that letters should go out within the next few days and that the City Council would hear the matter at Its October 25th meeting.

Sally Tonningsen complained about pigeons, rats and raccoons.

New members of the Association were introduced.

The outgoing Board was thanked for their efforts.

ADJOURNMENT

The meeting was adjourned at 8:40 p.m. A brief Board Meeting followed.
